("PHP" or the "Company")
Completion of Merger and Admission of Shares
Further to the announcement by MedicX and PHP on 14 March 2019 in relation to the Merger becoming unconditional in all respects, PHP announces that Admission and commencement of dealings in the New Shares became effective at 8.00 a.m. today.
New Shares in uncertificated form are expected to be credited to CREST accounts on or soon after 8.00 a.m. on 15 March 2019 (but no later than 28 March 2019) and definitive share certificates for the New Shares in certificated form are expected to be dispatched by no later than 28 March 2019.
The New Shares rank pari passu in all respects with the Existing Ordinary Shares in issue, including the right to receive and retain dividends and other distributions declared, made or paid, if any, by reference to a record date on or after the Effective Date.
The Company now has 1,131,235,006 ordinary shares of 12.5 pence each in issue and admitted to trading on the London Stock Exchange's main market, each such share carrying one vote. This figure may be used by PHP Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
Capitalised terms used but not defined in this announcement have the meanings given to them in the combined circular and prospectus published by the Company on 8 February 2019 (the "Combined Circular and Prospectus").
