Premier Foods plc announces the following acquisition made on 31 March 2014 by a director of the Company of ordinary shares of 10 pence each in the share capital of the Company (the 'Shares') at a price of 66.75p:

Pursuant to the terms of Mr Darby's service contract, payment of an annual bonus will be made 75% in cash and 25% in the form of shares. This acquisition of shares represents 25% of Mr Darby's net annual bonus in respect of the year ended 31 December 2013.
This announcement is in accordance with DTR 3.1.4R and relates to transactions notified to the Company in accordance with DTR 3.1.2R.
