ISSUANCE BY PREMIER FOODS FINANCE PLCOF DUAL TRANCHE £500,000,000 SENIOR SECURED NOTES

Further to the announcement of its capital refinancing plan on 4 March 2014 and the announcement on 7 March 2014 of the pricing of the offering by Premier Foods Finance plc of an aggregate of £500,000,000 senior secured notes to be issued at par in the following two tranches: (i) £325,000,000 6.50% senior secured notes due 2021 and (ii) £175,000,000 senior secured floating rate notes due 2020 at 3-month GBP LIBOR plus 5.00%, reset quarterly (together the "Notes"), Premier Foods plc ("Premier Foods") today announced the closing of the issuance of the Notes by Premier Foods Finance plc and the receipt of proceeds by Premier Foods Finance plc.

The gross proceeds from the issuance of each tranche of the Notes has been placed into escrow accounts. The release of the escrowed proceeds will be subject to the satisfaction of certain conditions in connection with the capital refinancing plan including the receipt of proceeds by Premier Foods from the placing and rights issue announced on 4 March 2014.
