Notification of Transaction by

Persons Discharging Managerial Responsibilities (PDMR)

Pursuant to Disclosure and Transparency Rule 3.1.2, the Company has been notified that Tim Weller, a PDMR, became beneficially interested in 9 ordinary shares of US$0.02 each in the Company (the "Shares") under The Petrofac Approved Share Incentive Plan (the "Plan"). The Shares were purchased as Partnership Shares at a subscription price of £14.818 per Share on 15 August 2012. The Company does not offer any Matching Shares under the Plan.

The Company's issued share capital consists of 345,891,490 Shares with voting rights. Each Share carries the right to one vote. The Company does not hold any shares in Treasury.
