Publication of Prospectus

Hertsford Capital plc (LON:HERT), is pleased to announce that it has today published its prospectus in relation to the purchase of the entire issued and to be issued share capital of OTAQ Group Limited and its subsidiaries for a consideration of £12.4 million, to be satisfied through the issue of 21,539,904 Ordinary Shares; a share consolidation of one consolidated share for every five existing ordinary shares; and a conditional placing to raise approximately £1.5 million (before expenses) by the issue 2,608,694 Ordinary Shares at 57.5 pence per consolidated share.

The Prospectus will be posted to Shareholders and will be available on the Company's website: www.hertsford-capital.com 

A General Meeting of the Company has been convened for 10:00 a.m. on 27 March 2020 to approve the acquisition of OTAQ Group Limited and related matters.

Admission of the enlarged share capital of the Company to trading on the Standard segment of the Official List is expected to occur at 8am on 31 March 2020.
