Merlin Entertainments plc completes offering of its €200 million 2¾% Senior Notes due 2022
Merlin Entertainments plc ("Merlin" or the "Company"), today announces that it has closed its offering of €200 million aggregate principal amount of its euro-denominated 2¾% Senior Notes due 2022 (the "Notes"). The Notes bear interest at an annual rate of 2.75% and were issued at 103.5% of their nominal value. The Notes were offered as additional notes under the indenture dated 19 March 2015 pursuant to which the Company issued €500 million in aggregate principal amount of its euro-denominated 2¾% Senior Notes due 2022.
The Notes were offered in a private placement and there will be no public offering of the Notes. The Notes were offered and sold only to non-U.S. persons outside the United States in offshore transactions in accordance with Regulation S under the U.S. Securities Act of 1933, as amended (the "U.S. Securities Act").
