St Ives plc - Additional listing
Further to the announcements on 29 January 2016 and 8 February 2016 relating to the acquisition of The App Business Limited, St Ives plc (the "Company") announces that an application has been made to the Financial Conduct Authority (the "FCA") for the admission of a further 5,684,549 ordinary shares of 10p each, relating to deferred consideration, to the premium listing segment of the Official List and to the London Stock Exchange for admission to trading on its main market for listed securities.
These shares have been issued pursuant to the Sale and Purchase Agreement between the Company and the vendors of The App Business Limited and rank pari passu with the existing issued ordinary shares of the Company.
It is expected that admission will become effective on 30 July 2018.
Following admission, the Company's issued share capital consists of 153,426,476 ordinary shares of 10 pence each with voting rights attached (one vote per ordinary share). The Company holds 90,637 ordinary shares in treasury. Therefore, the total number of voting rights in the Company is 153,335,839.
The above voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
