RESTRUCTURING DOCUMENTS EXECUTED

10 June, 2013 Dublin/London: Independent News & Media PLC ("INM" and/or the "Company") published a circular to shareholders on 24 May, 2013 convening an extraordinary general meeting of the Company ("EGM") for 17 June, 2013 to consider the proposed disposal of Independent News & Media (South Africa) and a number of resolutions to facilitate implementation of the restructuring ("Restructuring") announced on 26 April, 2013 ("Circular").

In the Circular, the Company advised shareholders that while the principal commercial terms of the Restructuring had been agreed and very good progress had been made in relation to the documentation to be entered into with the Company's lenders in respect of the Restructuring ("Restructuring Documents"), the Restructuring Documents had not been finalised. It was also stated in the Circular that the Restructuring Documents were expected to be finalised and executed on or around 7 June, 2013.

The Company now confirms that the Restructuring Documents have today been duly finalised and executed.
