Board Change
Ideagen PLC (AIM: IDEA), a leading supplier of integrated risk management software to highly regulated industries, is pleased to confirm that Emma Hayes has today joined the Group as Chief Financial Officer, succeeding Graeme Spenceley, as announced on 7th January 2020.
Graeme has retired as a Director but will remain with the Group as Company Secretary and financial advisor to the Board. This role will be on a full-time basis until 31 October 2020 which will provide for a full and effective handover to Emma, and thereafter he will continue in that capacity on a part-time basis.
Emma was previously Group Finance Director, Capital Delivery and Commercial, at Severn Trent PLC having held the position since 2017. In this role she controlled a P&L and Balance Sheet of approximately £600m and was responsible for driving operational efficiencies through her 100-strong team. Before that Emma spent 10 years with Deloitte LLP as a Corporate Finance Director where she led origination and execution of a wide range of M&A transactions. Emma qualified as a Chartered Accountant (ACA) with BDO.
Graeme Spenceley was previously awarded 750,000 share options under the Company's 2018 LTIP scheme (as announced on 29 March 2019 with details of the relevant scheme announced on 23 October 2018). The Board and Graeme have agreed that this award will be reduced to 187,500 options and that these will vest in full on the achievement of the first performance criteria (being the Company's share price reaching 196 pence over 30 consecutive business days).
Emma has in turn been awarded 562,500 share options under the 2018 LTIP with the same vesting conditions such that 187,500 of these options becoming eligible to vest on the first performance criterion described above being met, with the remainder becoming eligible to vest on the Company's share price reaching 259 pence over 30 consecutive business days. All other terms and conditions relating to the 2018 LTIP as previously described apply equally.
