Successful completion of the sale of ordinary shares in Helios Towers plc ("Helios Towers" or the "Company")

The Bat Hanadiv Foundation No. 3 (the "Selling Shareholder"), a pre-IPO shareholder, has sold approximately 18.3 million existing ordinary shares in Helios Towers plc (the "Placing Shares"), representing its entire shareholding in the Company (the "Placing"). The Placing represents 1.83% of Helios Towers' issued ordinary share capital (as at the date of this announcement). Following the Placing, the Selling Shareholder will no longer hold any of the Company's issued ordinary share capital.

In connection with the Placing, Jefferies International Limited ("Jefferies") acted as sole global coordinator.

Helios Towers will not receive any proceeds from the Placing.
