Halfords Group plc - Total Voting Rights

In accordance with DTR 5.6.1 of the FSA's Disclosure and Transparency Rules we would like to notify the market of the following:

During May 2012 the Company purchased for cancellation 170,000 shares, of which 120,000 had been cancelled as at 31 May 2012. Therefore the Company's issued share capital at that date consisted of 199,113,222 Ordinary 1p shares, with voting rights attached of one vote per Ordinary share. On this date the Company did not hold any shares in Treasury. Therefore, the total number of voting rights in the Company is 199,113,222.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interests in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
