FORMAT OF ANNUAL GENERAL MEETING

In light of the rapidly evolving situation and recent government guidance regarding the outbreak of Covid -19 (Coronavirus), the Board of Ground Rents Income Fund plc (the 'Company') has taken the decision to alter the format of the Company's annual general meeting to be held at 12.00 noon on Monday, 23 March 2020 at the Company's registered office. The safety and security of the Company's shareholders, guests, officers and service providers is of paramount importance.

The formalities of the meeting, as required by the Companies Act 2006 and the Company's Articles of Association, will still take place although there will be no presentation by the Manager and refreshments will not be served.

All shareholders are encouraged to vote by proxy, and to follow government guidance when considering whether or not to attend this meeting in person.

In the event that shareholders who do not wish to attend the general meeting in person have a question for the Board, please contact the Company Secretary by email or telephone, and we will arrange for a response to be provided to you.
