Goodwin PLC17 November 2006 GOODWIN PLC ("the Company") DIRECTORS' SHAREHOLDINGS The Company received notification on 17th November 2006 of the followingtransactions in which Mr. J. W. Goodwin and Mr R. S. Goodwin, directors of theCompany, are interested. Purchase of shares from J. M. Securities Ltd. The purchase on 16th November 2006 of 14,440 ordinary shares in the capital of the Company by J. M. Securities Ltd., a company in which J. W. Goodwin and R. S. Goodwin are interested, from the Goodwin family trust 'The J. W. Goodwin Children's Trust' of which J. W. Goodwin is a trustee on trusts in favour of hischildren. The purchase on 16th November 2006 of 14,440 ordinary shares in the capital ofthe Company by J. M. Securities Ltd., a company in which J. W. Goodwin and R. S.Goodwin are interested, from R. S. Goodwin. The transactions were off-market for an arm's length consideration of £6.925 per share. Mr. J. W. Goodwin and Mr R. S.
