Placing
e-Therapeutics plc (AIM:Β ETX), theΒ network-basedΒ drug discovery company, todayΒ is pleased to announce that it hasΒ conditionallyΒ placedΒ 6,541,000Β new Ordinary Shares ofΒ 0.1pΒ each in the Company (the "Placing Shares")Β withΒ aΒ newΒ institutional shareholderΒ to raise approximately Β£2.5Β million before expenses (the "Placing").
The Placing has been completed at a price ofΒ 38pΒ per Placing Share (the "Placing Price") representing a discount of approximatelyΒ 11.6Β per cent. to the closing mid-market price per ordinary share onΒ 30Β October 2009.Β
The Placing SharesΒ willΒ representΒ approximately 10Β per cent of the Company'sΒ enlargedΒ issued ordinary share capitalΒ following the PlacingΒ andΒ will rank pari passu in all respects with the existingΒ OrdinaryΒ SharesΒ in the Company.
Purpose of the FundraisingΒ
TheΒ FundraisingΒ provides e-Therapeutics with working capital to continue ongoing discoveryΒ and developmentΒ activities.Β
The costs of operating e-Therapeutics remain modest compared to conventional biotechnology companies. This low costΒ model is anticipated to continueΒ and,Β together with the initiatives outlined below for candidate development financing,Β allowsΒ value to be created efficiently for shareholders.Β
The strategy of the Company remains the discovery and development of a portfolio of candidates each of which is assessed to have unique medical attributes addressing, what theΒ directors believe to beΒ commercially significant unmet medical need. These candidates are planned for development and launch in major pharmaceutical markets after 2012 when theΒ industry's patent expiry and productivity problems areΒ expected to create considerable demand and value for such candidates.Β
Admission
The Placing is conditional on, inter alia, admission of the Placing Shares to trading onΒ AIM.Β ApplicationΒ is beingΒ made to admit theΒ Placing SharesΒ to trading onΒ AIMΒ andΒ dealings in the Placing Shares are expected to commence on or aroundΒ 6Β NovemberΒ 2009.Β
Accordingly,Β at the close of business onΒ 02 NovemberΒ 2009, the CompanyΒ will have inΒ issueΒ 65,420,292Β ordinary sharesΒ ofΒ 0.1p with voting rights. No ordinary shares are held inΒ Treasury.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in,Β the CompanyΒ under the FSA's Disclosure and Transparency Rules.

Amongst e-Therapeutics' pipeline of compounds in development are novel antibiotics that have been shown to kill the 'superbug'Β MRSA, and a novel cancer chemotherapy that has been shown to kill malignant cells at safe doses in a very short time. Other candidate therapies in development are targeted at atherosclerosis, asthma and depression. The Company is currently in negotiation with a number of pharmaceutical companies, and is progressing theΒ preclinical and clinical development ofΒ these products.
