Directorate Change: Interim Chief Financial Officer
Dignity plc (Dignity, the Company, or the Group), one of the UK's largest national providers of funeral plans and end of life services, is pleased to announce the appointment of Angela Eames as Interim Chief Financial Officer and Executive Director to the Board with immediate effect. Angela is currently Dignity's Group Financial Controller and interim Chief Financial Officer of Dignity Funerals Ltd.
Angela is a chartered management accountant who joined Dignity 33 years ago and has a wealth of experience and knowledge of Dignity and its operations.
Angela replaces Dean Moore, who steps down with immediate effect from his role as Interim Chief Financial Officer of the Group. Dean remains on the Board as an independent Non-Executive Director. Despite Dean's role as Interim Chief Financial Officer until today's date, the Board determined that this did not and would not materially interfere with the exercise of his independent judgment in respect of the Company's business.
The composition of certain Board Committees has been updated to reflect these Board changes as follows:
· Dean Moore has been appointed to the Remuneration Committee. Membership of the Remuneration Committee now comprises Graham Ferguson, Giovanni (John) Castagno, Kartina Tahir Thomson and Dean Moore.
· Dean Moore has been appointed to the Audit Committee. Membership of the Audit Committee now comprises Graham Ferguson, Kartina Tahir Thomson and Dean Moore.
· Dean Moore has been appointed to the Nomination Committee. Membership of the Nomination Committee now comprises Giovanni (John) Castagno, Graham Ferguson, Kartina Tahir Thomson and Dean Moore.
· Dean Moore has been appointed to the Risk Committee. Membership of the Risk Committee now comprises Kartina Tahir Thomson, Giovanni (John) Castagno, Graham Ferguson and Dean Moore.
Giovanni (John) Castagno, Group Chair, commented:
"We are delighted to welcome Angela onto the Board in an interim role. Her knowledge of the Group and experience has been and continues to be invaluable. We continue the process to recruit a permanent Chief Financial Officer which has been postponed awaiting the outcome of the recommended offer for Dignity PLC by Yellow (SPC) Bidco Limited.
We are also extremely grateful to Dean for his wise counsel in the interim role, which he has performed since 1 January 2021 and now wishes to dedicate more time to his other non-executive roles and business interests. Dean's experience will now serve the Group well as an independent Non-Executive Director. Both Dean and Angela's appointments afford the Group a smooth transition in the management of our finance functions.
This announcement is made pursuant to Listing Rule 9.6.11R. There are no further details required to be disclosed under Listing Rule 9.6.13R.
