TOTAL VOTING RIGHTS AND CAPITAL

In accordance with Rule 5.6.1 of the Financial Conduct Authority's (FCA's) Disclosure Guidance and Transparency Rules, the total number of issued ordinary shares of 5 pence each in the Company ("Ordinary Shares") is 124,563,515 as at 30 September 2020. The Company does not hold any Ordinary Shares in Treasury.

Therefore, the total number of Ordinary Shares with voting rights is 124,563,515 which may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
