Exercise of Options, Total Voting Rights and Director/PDMR Shareholdings
Exercise of Options
CPPGroup Plc announces that, on 7 October 2025, Simon Pyper, Chief Financial Officer of the Company, exercised 109,971 options over ordinary shares of £1 each in the Company ("Ordinary Shares") under the CPPGroup Plc Deferred Bonus Plan (the "Options Exercise").
The Options Exercise is being satisfied by Ordinary Shares held by the Company's Employee Benefit Trust and from a new issue of Ordinary Shares. Those shares required to be issued are covered by the Company's existing block-listing application.
Total Voting Rights
The Company's issued share capital comprises 9,164,804 Ordinary Shares. Following the Options Exercise, the total voting rights of the Company will be 9,269,605. Therefore, the total number of voting rights in the Company is 9,269,605.
The above figure of 9,269,605 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
Director/PDMR shareholdings
Following the Options Exercise, Simon Pyper's beneficial interest in Ordinary Shares of the Company will be 212,001 Ordinary Shares, representing approximately 2.29% of the issued share capital of the Company.
