ANNUAL GENERAL MEETING

ANNUAL GENERAL MEETING ("AGM")

CPPGroup Plc (CPP or the Group), the international assistance business, today announces that Resolutions 2 to 5 (Election of directors), as set out in the Notice of AGM circulated to shareholders on 22 April 2016 (the "AGM Notice"), will no longer be put to shareholders at the AGM. This is due to the fact that the persons named in these resolutions are no longer directors of the Company.

The remaining resolutions set out in the AGM Notice will be put to shareholders at the AGM (which is to be held at Eversheds, 1 Wood Street, London, EC2V 7WS at 2.00 p.m. on 18 May 2016 as set out in the AGM Notice), with results being announced following the conclusion of the meeting.
