ANNUAL GENERAL MEETING

ANNUAL GENERAL MEETING ("AGM")

CPPGroup Plc (CPP or the Group), the international assistance business, confirms that its AGM will be held at Eversheds, 1 Wood Street, London, EC2V 7WS at 2.00 p.m. on 18 May 2016. Resolutions 2, 3 and 5 (Election of directors), as set out in the Notice of AGM circulated to shareholders on 22 April 2016 (the "AGM Notice"), will not be put to shareholders at the AGM as the persons named in these resolutions are no longer directors of the Company.

The remaining resolutions set out in the AGM Notice, including Resolution 4 (appointment of Michael Corcoran) will be put to the meeting, with the results of the AGM being announced following the conclusion of the meeting.
