Capricorn Resources PLC16 December 2005 Capricorn Resources Plc Results of AGM The 2005 Annual General Meeting of Capricorn Resources plc was held on 16December 2005. Mr Motau retired by rotation in accordance with the Company'sarticles of association and did not stand for re-election. The Board thanks himfor his contribution. The Board of Directors accordingly now consists of MrBrian Moritz and Mr John Stuttaford. A resolution was passed to the effect that, despite not having made anacquisition or investment in the 24 months following admission to AIM, theCompany should continue to explore acquisition or investment opportunities andshould not be wound-up. In view of the proxy count against, the resolutiondisapplying pre-emption rights on the issue of shares for cash was not put tothe meeting.
