Director / PDMR Shareholding
Notification and public disclosure of transactions by persons discharging managerial responsibilities ("PDMR") and persons closely associated ("PCA") with them.
Bakkavor Group plc (the "Company") was notified on 10 April 2019, that Umbriel Ventures Limited, the corporate holding structure and PCA of Lydur Gudmundsson, a Director/PDMR of the Company, has entered into a Security Interest Agreement ("the Agreement") with HSBC Bank plc, Guernsey Branch (the "Bank") and granted a pledge in favour of the Bank over 130,000,000 Ordinary shares in the Company as security in connection with the Agreement.
Lydur Gudmundsson remains the beneficial owner of the shares subject to the pledge and retains control of the voting rights attached to such shares. As such, Lydur Gudmundsson's interests in the voting rights of the Company are unchanged and he continues to have an interest in 145,333,130 Ordinary shares of 2 pence each, representing 25.1% of the voting rights and issued share capital of the Company.
Details are set out in the table below along with the Director's beneficial interests, which remain unchanged.
