SUB: AUDITED FINANCIAL RESULTS OF AXIS BANK LIMITED (THE BANK) FOR THE QUARTER /FINANCIAL YEAR ENDING AS ON 31ST MARCH, 2017.
REF: REGULATIONS 29 (1), 46 (2) and 47 (1) OF SEBI (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015 ('LISTING REGULATIONS')
Notice is hereby given that the 175th meeting of the Board of Directors ('the Board') of Axis Bank Limited ('the Bank') will be held on Tuesday, 25th April, 2017 and will continue on Wednesday, 26th April, 2017 at the Corporate Office of the Bank at Axis House, C - 2, Wadia International Centre, Pandurang Budhkar Marg, Worli, Mumbai - 400 025, to inter alia, consider and approve the following:
1) Audited Financial Results of the Bank, for the Quarter /Financial Year ending as on 31st March, 2017.
2) Recommend final dividend, if any, for the Financial Year 2016-17.
3) Borrowing / Raising funds in Indian Currency / Foreign Currency by issue of debt Instruments including but not limited to bonds and Non-Convertible Debentures, in terms of Section 42 of the Companies Act, 2013 read with relevant Rules and the 'Listing Regulations'.
4) Convening the 23rd Annual General Meeting of the Bank and matters related thereto.
Further, please note that the said Audited Financial Results would be approved by the Board at its meeting to be held on 26th April, 2017 and the said results will be disclosed to the Stock Exchanges after conclusion of the Board meeting on the said date, in accordance with the Listing Regulations. Thereafter, the Bank will be holding conference calls with the Analysts with regard to the said results.
Please note that the notice of the said meeting for the above purpose is also being uploaded on the website of the Bank and published in the newspapers, in terms of Regulation 46 (2) and 47 (1) of the Listing Regulations. Further please note, that the said Audited Financial Results of the Bank will also be published in the newspapers and uploaded on the website of the Bank, in the prescribed format in terms of Regulation 47 (1) of the Listing Regulations.
Further, please note that the restricted trading window (blackout period) for dealing in shares / securities of the Bank will commence from 1st April, 2017 and continue upto 28th April, 2017 (both days inclusive), in terms of the "Code of Conduct to Regulate, Monitor and Report Trading by Insiders" formulated and adopted by the Bank, in terms of the SEBI (Prohibition of Insider Trading) Regulations, 2015.
