Director/PDMR Shareholding

AVEVA Group plc announces that on 23rd July 2015 it was notified that on 21st July 2015 the following share option exercises and share sales took place:

Richard Longdon, Chief Executive Officer

Mr Longdon exercised options of 1,397 shares following the 2012 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained all of the shares in certificate form, settling the National Insurance and Income Tax liability separately.

Mr Longdon exercised options of 1,968 shares following the 2013 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained all of the shares in certificate form, settling the National Insurance and Income Tax liability separately.

Mr Longdon exercised options of 977 shares following the 2014 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained all of the shares in certificate form, settling the National Insurance and Income Tax liability separately.

Following this, Mr Longdon owns 253,974 ordinary shares and holds options over 129,822 ordinary shares.

James Kidd, Chief Financial Officer

Mr Kidd exercised options of 669 shares following the 2012 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained all of the shares in certificate form in his wife's name, settling the National Insurance and Income Tax liability separately.

Mr Kidd exercised options of 1,160 shares following the 2013 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained all of the shares in certificate form in his wife's name, settling the National Insurance and Income Tax liability separately.

Mr Kidd exercised options of 626 shares following the 2014 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained all of the shares in certificate form in his wife's name, settling the National Insurance and Income Tax liability separately.

Following this, Mr Kidd owns 15,563 ordinary shares and holds options over 50,009 ordinary shares.

David Wheeldon, PDMR

Mr Wheeldon exercised options of 1,878 ordinary shares following the 2012 award under the AVEVA Group Management Bonus Deferred Share Scheme, and sold 1,878 shares at a price of £22.64 per share.

Mr Wheeldon exercised options of 1,510 ordinary shares following the 2013 award under the AVEVA Group Management Bonus Deferred Share Scheme, and sold 1,510 shares at a price of £22.64 per share.

Mr Wheeldon exercised options of 551 ordinary shares following the 2014 award under the AVEVA Group Management Bonus Deferred Share Scheme, and sold 551 shares at a price of £22.64 per share.

Following this, Mr Wheeldon owns 74,647 ordinary shares and holds options over 44,747 ordinary shares.

Derek Middlemas, PDMR

Mr Middlemas exercised options of 530 shares following the 2012 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained all of the shares in certificate form, settling the National Insurance and Income Tax liability separately.

Mr Middlemas exercised options of 1,102 shares following the 2013 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained all of the shares in certificate form, settling the National Insurance and Income Tax liability separately.

Mr Middlemas exercised options of 521 shares following the 2014 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained all of the shares in certificate form, settling the National Insurance and Income Tax liability separately.

Following this, Mr Middlemas owns 20,707 ordinary shares and holds options over 55,296 ordinary shares.

Mathew Truche-Gordon, PDMR

Mr Truche-Gordon exercised options of 405 shares following the 2012 award under the AVEVA Group Management Bonus Deferred Share Scheme and sold 191 shares at a price of £22.64 per share to fund the associated National Insurance and Income Tax liability associated with the exercise. He retains the remaining 214 ordinary shares.

Mr Truche-Gordon exercised options of 643 shares following the 2013 award under the AVEVA Group Management Bonus Deferred Share Scheme and sold 303 shares at a price of £22.64 per share to fund the associated National Insurance and Income Tax liability associated with the exercise. He retains the remaining 340 ordinary shares.

Mr Truche-Gordon exercised options of 319 shares following the 2014 award under the AVEVA Group Management Bonus Deferred Share Scheme and sold 151 shares at a price of £22.64 per share to fund the associated National Insurance and Income Tax liability associated with the exercise. He retains the remaining 168 ordinary shares.

Following this, Mr Truche-Gordon owns 7,482 ordinary shares and holds options over 24,813 ordinary shares.

Hilary Wright, PDMR

Mrs Wright exercised options of 351 shares following the 2012 award under the AVEVA Group Management Bonus Deferred Share Scheme and sold 166 shares at a price of £22.64 per share to fund the associated National Insurance and Income Tax liability associated with the exercise. She retains the remaining 185 ordinary shares.

Mrs Wright exercised options of 363 shares following the 2013 award under the AVEVA Group Management Bonus Deferred Share Scheme and sold 171 shares at a price of £22.64 per share to fund the associated National Insurance and Income Tax liability associated with the exercise. She retains the remaining 192 ordinary shares.

Mrs Wright exercised options of 180 shares following the 2014 award under the AVEVA Group Management Bonus Deferred Share Scheme and sold 85 shares at a price of £22.64 per share to fund the associated National Insurance and Income Tax liability associated with the exercise. She retains the remaining 95 ordinary shares.

Following this, Mrs Wright owns 6,406 ordinary shares and holds options over 22,561 ordinary shares.

Helmut Schuller

Mr Helmut Schuller exercised options of 355 shares following the 2014 award under the AVEVA Group Management Bonus Deferred Share Scheme and retained all of the shares in certificate form, settling the Income Tax liability separately.

Following this, Mr Schuller owns 355 shares in the Company and holds options over 32,069 ordinary shares.
