TietoEnator Corporation05 April 2005 Not for release, publication or distribution in, into or from Australia, Canada,Japan or the United States 5 April 2005 Recommended Cash Offer by Regent Associates Limited on behalf of TietoEnator Corporation for AttentiV Systems Group plc ("AttentiV") ADDITIONAL IRREVOCABLE UNDERTAKING Further to the announcement released earlier today by TietoEnator Corporation("TietoEnator") regarding its firm intention to make a cash offer ("Offer") forAttentiV Systems Group plc ("AttentiV"), TietoEnator announces that it has sincereceived an irrevocable undertaking from HSBC Asset Management (Europe) Limited("HSBC") to accept the Offer in respect of 2,500,000 AttentiV shares held byHSBC, representing approximately 4.1 per cent. of AttentiV's existing issuedshare capital. The irrevocable undertaking provided by HSBC will cease to bebinding only in the event of an announcement of a third party offer representingat least a 10 per cent. premium to the value of the Offer. TietoEnator has now received irrevocable undertakings from AttentiV shareholdersto accept the Offer in respect of, in aggregate, 15,827,292 AttentiV shares,representing approximately 26.1 per cent. of AttentiV's existing issued sharecapital. TietoEnator has received irrevocable undertakings to accept or indications of anintention to accept the Offer in respect of a total of 30,172,421 AttentiVshares, representing approximately 49.8 per cent. of AttentiV's existing issuedshare capital.
