NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Prof. Dr. Uwe Krueger, a director and person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 13 January 2016 that, on 8 January 2016 in London, 445 ordinary shares of 0.5 pence each ("Ordinary Shares") in the Company were purchased on his behalf. The share price at which the shares were purchased was £15.6311 per share. The shares were purchased following the reinvestment of dividends paid on shares held by Prof. Dr. Krueger via a nominee account.

This share purchase, which was in accordance with a standing mandate to participate in the Company's dividend reinvestment plan, equated to 0.0004% of the Company's voting issued share capital. The shares will also be held in the nominee account on Prof. Dr. Krueger's behalf.

Prof. Dr. Krueger's total interest in shares following this notification is 51,082 Ordinary Shares, which equates to 0.051% of the Company's voting issued share capital.

This notice is given in fulfillment of the obligations under DTR 3.1.4R (1).
