Takeover Panel13 November 2006 2006/21 enodis Plc ("enodis") aga foodservice group plc ("aga foodservice") Following recent representations made by the advisers to Enodis, the PanelExecutive has been considering the application of Rule 2.4(b) of the Code to theapproach by AGA Foodservice to Enodis. Following discussions with both parties'advisers, the Panel Executive has ruled that AGA Foodservice must, by 5.00 pm on11 December 2006, either announce a firm intention to make an offer for Enodisunder Rule 2.5 of the Code or announce that it does not intend to make an offerfor Enodis. No extension to this deadline will be granted, except with theconsent of the Panel Executive. In the event that AGA Foodservice announcesthat it does not intend to make an offer for Enodis, AGA Foodservice and anyperson acting in concert with it will, except with the consent of the PanelExecutive, be bound by the restrictions contained in Rule 2.8 of the Code forsix months from the date of such announcement.
