NOTICE TO HOLDERS OF
ACER INCORPORATED (the "Company")
USD 300,000,000 ZERO COUPON CONVERTIBLE BONDS DUE 2015 (the "2015 Bonds"),
ISIN: XS0528416232
USD 200,000,000 ZERO COUPON CONVERTIBLE BONDS DUE 2017 (the "2017 Bonds"),
ISIN: XS0528416315
On December 23, 2014, the Company's Board of Directors approved to offer to the holders of Common Shares rights entitling them to subscribe 300,000,000 Common Shares at subscription price of NT$18.00 per Common Share.
According to Section 11.02 of the Indenture ("Indenture") dated on August 10, 2010 between the Company and Citicorp International Limited, the Conversion Price shall be adjusted to NT$100.59 for the 2015 Bonds and NT$103.50 for the 2017 Bonds on February 5, 2015 in accordance with the relevant formula.
