The common stock of Boardwalk Capital Holdings Ltd. ("Boardwalk") and Acer America Holding (AAH) Gateway Inc. ("Gateway")

Capital injection of US$40,000,000 from Acer to ACLAH, AAH and will be indirect injected to Gateway.
