RE: Price Action29 Nov 2022 16:23
Seems to be some confusion here.
The issuer is GCAT…
Look at box 1a…
“ 1a. Identity of the issuer or the underlying issuer of existing shares to which voting rights are attached ii: = GCAT”
If they are non UK then they put an x in box 1b
“ 1b. Please indicate if the issuer is a non-UK issuer (please mark with an "X" if appropriate)”
You note it’s blank…
https://www.lse.co.uk/rns/GCAT/holdings-in-company-3ichqslnoq28x3a.html
So it’s a UK issuer, that is the stock issue is GCAT and is UK.
The threshold is therefore 3% and each full 1% crossing thereafter
“ From FCA handbook....DTR 5.1.2 sub para 1
“(1) reaches, exceeds or falls below 3%, 4%, 5%, 6%, 7%, 8%, 9%, 10% and each 1% threshold thereafter up to 100% (or in the case of a non-UK issuer on the basis of thresholds at 5%, 10%, 15%, 20%, 25%, 30%, 50% and 75%) as a result of an acquisition or disposal of shares or financial instruments falling within DTR 5.3.1 R“
https://www.handbook.fca.org.uk/handbook/DTR/5/
Non uk is 5% but as the issuer is GCAT the notification is 3% then each 1% crossing. So the next and final notice from GOldplat assuming they are selling out will be below 3% when they will say they no longer hold a notifiable position in the stock.
The notice period is the next full working day.
So it’s highly likely we get a TR1 tomorrow or Thursday.
You will, however, be amazed at how many TR1’s are incorrectly completed!
Usual caveats
