Wyld Networks and Brinja sign agreement to deploy satellite IoT solutions in Sweden
Wyld Networks today announce a partnership with Brinja, a Swedish specialist IoT hardware and software company, to offer satellite connectivity for IoT solutions for the construction industry and dispersed asset infrastructure monitoring.
Brinja manage multi-faceted IoT projects including construction site management, energy saving lighting control and automated concrete measurements for companies such as Skanska and NCC. Their data-driven strategies, increase efficiencies for operations, and enable more informed business decisions. Brinja’s solutions raise safety levels, lower costs and allow for better control over, for example, relative humidity, noise levels and dust particle accumulation.

The Wyld Connect satellite IoT solution provides 100% global coverage for connecting sensors and devices and will integrate with Brinja sensors to expand deployment of the IoT for their customers. This will increase data flow into Brinja’s analytics platform increasing the value of their customer offering.

Sensor-based digitisation is leading to significant tangible benefits for construction businesses across the globe. The combined technologies of Brinja and Wyld will accelerate this digitisation and reduce the need for high-cost terrestrial network infrastructure.

Constanta will be both reselling Wyld Connect satellite IoT products as well as procuring Wyld Connect for their own IoT projects for applications such as smart consumption meters and soil condition sensors, serving the smart cities, industry, health, and agribusiness markets.

Another good update from Wyld

The recent commercial launch of Wyld Connect, the satellite IoT product range from Wyld Networks, has been well received in the market and created a strong customer demand. Over the last two weeks, as previously announced, Wyld has received purchase orders of more than SEK 28 million as launch partners get ready for commercial service of the end-to-end satellite IoT solution, planned for the second half of 2022. These orders are for the Wyld Connect terminal and do not include the monthly service fee payable on the launch of the full network service.
“We are extremely pleased with the launch of Wyld Connect and the response we are getting from the market. We have now formed 22 partnerships with prospective service launch partners, of which seven have been added in the last three months”, said Alastair Williamson, CEO of Wyld Networks. “So far three of these partners have placed orders and we are working to secure further orders as well as adding new partners.”

The launch partners are global companies such as Bayer, Chevron, and American Tower, all with a need to collect data from their IoT solutions in the agricultural, energy and transportation sectors – particularly in areas of the world lacking internet access. Wyld’s satellite IoT solution provides 100% global coverage, enabling the collection of data anywhere in the world.

A major part of the commercial launch programme is the creation of the Multimodal IoT Infrastructure Consortium™ (MMIIC) consortium, formed through the partnership of Wyld, Senet Inc, Eutelsat and TrakAssure. The agreement is to combine Senet’s terrestrial LoRaWAN® network with Wyld’s and Eutelsat’s satellite LoRaWAN® network capabilities to provide 100% global LoRaWAN® coverage. The focus of the consortium is the commercial delivery of supply chain solutions using both terrestrial and satellite IoT, which will be the first of its kind on the market.

Speculating that if the second lot of warrants are converted and that it is on the same terms as this lot we probably find ourselves dropping to 40% holding, why we need to see FVR or DA sold very soon so Tern can buy a load of the second lot of warrants so we can get our holding back above 50%

Pretty shocking that Tern subscribed in the SVV fund rather than bought warrants in Wyld to keep us over that 50%, we need that FVR exit to occur sooner rather than later or Wyld will drop to 40% after the next warrants. Sisto playing a blinder as per usual

I think the confusion is caused by someone not appreciating that the warrants issued at IPO weren’t issued in proportion to the holding at the time of the IPO, but in proportion to a shareholder’s (new or existing) participation in the IPO “Offering”. This was set out in the 9 June 2021 announcement “Proposed IPO of Wyld Networks”.

As outlined in that announcement the Offering at the Wyld IPO was for a number of “Units” at a price of SEK11 each . Each unit was for one share, one TO1 warrant and one TO2 warrant. This provided Wyld an immediate cash raise of approximately £2.1 million and left the two series of warrants to be converted (or not) at set later dates, with the TO1 warrants now in their conversion period.

As Tern did not participate in the Offering in proportion to its pre-IPO shareholding (deliberately to bring in third party investors), the Tern shareholding in Wyld fell from 78.7% to 60.7% at IPO. In fact Tern subscribed for £300,000 in the Offering, approximately 14% of it, so has approximately 14% of the TO1 warrants. These are now being converted and if all the remaining TO1 warrants (i.e. the approx. 86% that Tern doesn’t own) are converted, Tern’s shareholding in Wyld will be diluted. We wont know the extent of the dilution until the end of the exercise period on 4 April, but if all of them are exercised Tern’s holding will reduce from 58.7% to 49.1% as stated in today’s announcement
