The next RNS, if the discussions are successful , would be an announcement of a SPA terms agreement.

The RNS, you referred to, was a termination of a SPA.

Under FCA rules (DTR 2.2 for Main Market), if discussions had ended, the company would be required to issue an RNS to inform shareholders. Since no such announcement has been made, it's reasonable to assume discussions are still ongoing.

I get the frustration, but no news doesn’t mean nothing is happening—it just means discussions haven’t concluded yet. When there’s something concrete to report, the company will have to RNS it.

Who's going to tell Carmzy?

If there's a number discrepancy from 2019/20 confirmation statements , the discrepancy would be carried forward in subsequent years until it's rectified.

Now the company has rectified the initial and subsequent errors, the deramper must be getting worried they've called this one wrong.

The updates to several confirmation statements indicate that the company has undertaken a thorough review of it's filings and corrected inaccuracies to ensure compliance with legal requirements and maintain transparency.

In a broader context, it suggests that AMG is preparing for significant corporate actions, specifically a reverse takeover.

Looks like the company has been getting their filings in order on companies house.. wonder why?

They did raise £475,000 in November, but it was in the context of raising another £15 million and RTO completion in December.

I doubt they raised sufficient funds to last beyond the failed RTO.

The company is not generating an income and should have raised in January/February.

There's a vacant seat in the boardroom.

The RNS update said they are in discussions with potential acquisition targets.

We're heading towards mid-March.

If the discussions have gone well and there's an RTO agreement in the pipeline ;

It would explain the lack of a fundraising.

It would explain the reason of a vacant boardroom seat and why it hasn't been filled.

It would explain why no further updates have been given as to the discussions, and these discussions are solely for an acquisition through a reverse takeover.

Actions speak louder than words, in situations like AMG is in at the moment, we're all just waiting for the next update.

News could come at any time.. everyday is a day nearer!!

I'm expecting an update this month but I suppose they have to have something of substance to put into an RNS. So if they do it will be worth reading and hopefully a price mover.

Today's the last trading day in February, sounds like March is going to be quite exciting.

Chadwick's comments was pretty clear in January 17th RNS corporate update:

Certainly doesn't sound like they have given up.

I'd say the failed RTO was a major disappointment and they are moving forward to source more acquisitions.

They have had the authority, to dilute shareholders by 33%, since December 5th 2024.

Why do you think haven't they issued any shares to raise funds?

As far as I'm concerned, they are helping shareholders by not doing the above.

It looks to me like they are saving their ammo for an RTO deal.

News could come at any time and only when it's ready.

From January 17th RNS, 6 weeks ago:

"management have been examining and engaging in discussions with a number of other potential acquisition targets, which are primarily producing assets focused on copper and gold in Africa."

Engaging in discussions means discussing terms of a deal.

Expecting RTO terms agreement in next few weeks if the talks were successful. Giving that the company has a pool of potential target assets, I doubt that these were the first talks the company had with them.
