RE: Resolutions, all perfectly normal.29 Jan 2025 22:38
The whole point of the AGM is to be able to move forwards. The resolution for headroom is perfectly normal it sounds like quite a few on here have no idea that for most companies this can be a standard AGM resolution. Didn’t Tom let the previous headroom expire (shareholders must have voted on it!) in September 24. So effectively it was voted on last AGM. Look you need to understand and some here have short memories that there is historical debt and extra payments not accounted for we did not know about re December RNS Lunn exposed and the need for headroom IMHO is connected to the cornerstone investor and NDA. If you vote NO then you are all simply being short sighted and prolonging this whilst simultaneously shooting yourselves in your own foot and offering no clear pathway to a solution other than it not coming back! Lunn needs flexibility in order to solve all the problems we didn’t originally know about. We only had 8 million allocation left. We only have issued in total the company has 120 million shares or just under and that includes the issues whilst in suspension up to 12p. That’s nothing tiny total issue.
The auditors will surely want surety re debt and you won’t get them signed off until all is rectified and the key is from C/S investor clearly. I do think we need an RNS now clearly outlining the forward plan at this stage to give people the info they need but there’s also the element of trust here and Lunn is trying to fix problems not of his making along with the huge confidence and support in having RM from Globalvision as our new CEO. The people suggesting a No vote are naive & have zero idea or plan as to how the £ problems will get fixed if they can’t issue any further stock that idea to block it is simple business suicide here. I think the C/S investor would have a lock in perhaps if this is the deal hence the naming of them as the Cornerstone Investor ffs so we are not talking here today gone tomorrow a C/S supports a company. All votes are up to each shareholder but you really need to consider actually voting YES so finally we can move forwards and lift suspension. There is no alternative route. Debt and further cash needed re royalties/land owners/settlement debt will need to be paid one way or the other. It seems to me those suggesting No have many hidden agendas including the real possibility of a trapped large short & individuals shorting and spreadbets all open here.
To me Vote YES we in a few weeks get trading again entering back into a Trump Drill Baby Drill administration supporting environment in the heart of Texas. Oil, Gas and Lithium and GV can hit the ground running.
To me Vote No and what is the plan boardoom battles, long suspension and ultimately if we are even lucky some dodgy death spiral loan that will finish us off? IMHO DYOR GLA
