Upgrade to Sector Perform In Anticipation of OML30 Acquisition Early next week we expect Heritage to present its Shoreline acquisition to the market. The acquisition of a ~31.5% (net) participating interest in OML30 in Nigeria has the potential to transform the company’s business case by injecting significant reserves and production. After adjusting for the potential impact of $370m placing (at 125p, the pre-deal close) we have increased our PV15% NAV to 221p/share, from 192p/share. We have upgraded the stock to Sector Perform from Underperform, and brought our target price more in line with our NAV, 200p, up from 165p. A more positive outlook awaits a clear commitment to the OML30 development and production growth. Acquisition: Utilising a special purpose company – Shoreline Natural Resources – Heritage is acquiring (from Shell, TOTAL and Eni) a 45% participating interest in OML30 for $850m in cash; the remaining 55% stake is held by NNPC. Although Shoreline is structured to meet the criteria required under Nigerian law to be classified as an indigenous company - 55% of the equity is held by local partner Shoreline Power - the economic rights are heavily weighted to Heritage. This reflects its capital contribution, Heritage is funding the whole purchase, with a $550m loan and a $370m rights issue. Shoreline Power is allocated a (2.5% to 10%) NPI that grows as the loan is repaid. Shoreline Power also has an option to acquire a 30% stake in Shoreline Natural Resources; based on our calculations, it is a given that it will exercise this option. Our Heritage NAV assumes a (net) 31.5% stake in OML30. 221p/share NAV: For simplicity we assume the $370m placing is at 125p – in line with the stock’s 29th June close; Exhibit 3 shows the impact of various prices. Risks: In recent years there have been a number of shut-ins at OML30 due to sabotage of flowlines and equipment. However, the greatest risk to the investment case is management’s commitment to the project; as we have seen with Heritage in Russia, production does not grow without investment. But, management is upbeat and it believes the self-funded development will flourish.

Thought I would share that I have heard that the partners in OML 30 have tried to raise the monies to match HOIL's offer but their general financing enquiries have been limited in terms of commitment to monies to purchase a % of HOIL's share to date. HOIL will only pay a pro-rata percentage depending on what the other parties can raise and wish to match HOIL'S offer within 6 months. It certainly bodes well that there's a distinct difference in financing between 1st world countries and that of 2nd world also it shows confidence in the license and also HOIL.

lol, the point I was trying to make was is the suspension going to be lifted in August or have we got to wait for the Nigerian Governments consent................just reminds me of another share I hold that I am waiting government approval for and it's turning out to be a night mare................
