Kim, ultimately shareholders should only care about equity value.

If a division is sold to clear debt, it may be a good deal if the remaining FCF can be used to pay dividends or used for share buybacks. Similar story for increased capex if it means higher FCF down the road.

It all boils down to the value gained from selling a division vs other corporate actions which give value to shareholders. The market will perceive one action to be more important than the other for shareholders.

My hunch is, the market doesn't really trust MM and the board to deliver for shareholders, so a partial selling of nutrition followed by paying down/off debt will have more short term benefit to shareholders vs relying on the board to grow revenues and to grow FCF to pay down debt and pay dividends/do share buybacks organically.

If the last 4 years are anything to go by, I don't trust this board to perform.

Selkirk has been discussed at length.

£1bn ish valuation selling 49% or lower for stake for £500m. 75p a share, likely for nutrition.

We had 8m shared traded yesterday and price up over 7%. That's the big boys and I guarantee they're not following this board to get their information. They know what's going on. I just thought I'd give my 2 cents of piecing it together based on figures from the presentation and THG figures I've looked at. I have no other information apart from that so could be complete BS, but again, the big boys will know before any of us minions know. The price action suggests the big boys have known for a few weeks.

I think we will see low 30's again but this time no real prospect of a sp recovery for many years.

That is assuming that once Ingenuity is fully prized from the current shareholders Moulding does not run THG into the ground and take it private for ohh lets say 10p. He being a generous type and all.

Oke, not 100% how it works practically so tell me if I'm wrong, but I thought Selkirk are only interested in 49%, they'll leave 51% to THG.

Therefore they'll be stumping up £500m. The presentation suggests the £500m is made up of:

£100m new equity

£150m new debt

£250m consolidation shares (I guess in Selkirk?)

Therefore I'm inclined to think that cash delivered to THG would be £250m, £250m worth of Selkirk shares, whilst retaining 51% of MyProtein for majority shareholding?

I suppose the bit I'm not 100% sure on is why give THG £250m of consolidation shares if they are keeping 51% of MyProtein anyway...?

Oxford, Selkirk said they're after a subsidiary of a UK conglomerate in the FMCG space which had a historic EBITDA of £50m and that they'd acquire 49% (maybe less) for £500m.

This would value said subsidiary at £1bn. I have a gut feeling it's myprotein based on what Iain was saying.

£1bn on previous share count 1.3bn is 75p per share for myprotein. Then we have beauty so for let's say a similar valuation we're at 150p.

But Selkirk acquisition wouldn't be the end of the road because THG will still own 51%, however it is a way of boosting the SP to a known market value. Iain has plans to boost the SP even further and showed that split company's perform 30% better (or something along those lines).

I don't know whose shares will be sold to Selkirk, or how it would work. I wonder whether Moulding keeps his stake or whether the board recommends "fast money" to sell MyProtein at 75p?
