OilNovice,
Have you actually looked at the votes?
8. Empowering the directors' to disapply statutory pre-emption rights
For: 1,697,355,094 50.2%
Against: 1,680,806,612 49.8%
Total: 3,378,161,706
... that's a pass according to how I was taught maths.
OilNovice, just to prove my integrity (as opposed to yours), I re-checked.
Low and behold, resolution 8 did pass. 50.2% for, as opposed to 49.8% against.
Old PI's, potential ones & all peeps looking in, please take note... the ramping mob isn't working in your favour... it never has.
Above all remember, DYOR.
Sarashare, why do you constantly ask for a repeat of what I've previously advised umpteen times? Just for you (see above) 0.003p.
OilNovice, "resolution 8 didn't pass "(Lol... stop trying to deflect from what has occurred here ):-
"Resolution 8 which will be proposed as a special resolution, will enable the directors to allot equity securities up to a maximum aggregate nominal amount of £37,405.25 without having to comply with statutory pre emption rights."
7.1 & 7.2 did pass, thus making way for the possible issuance of about another 28 billion shares. Don't you think 7 pre-empts the paltry figure in 8? Don't try to cloud my point to the detriment of PI's.
As for your quote "OTT didn’t participate in the voting" ( they certainly had the right to).
If you're not an insider, on who's authority do you have the ability to make that statement? ( I'll argue with you all day/night, they did participate in that vote).
I know some here are pretty much deluded, but please don't take the pi55 out of those who aren't.
... hope I've helped some not lose the lot. Always better to cut losses early. It's the amateur who constantly averages down. Unfortunately only a few of them can afford to. Beware their advise!
Here's one I posted not to long ago:-

If resolutions 7&8 are passed (Of which I have little doubt, believing that OTT's holding was orchestrated so this could be achieved without PI approval) and fully exploited, I can see the SP as low as 0.003p.
Could also be avoided, but BoD needs to adopt a much more transparent approach with deals and communication (IMO). DYOR

Rather than dismiss this, try to understand it. The same applies when perusing RNS's from this company (and many other lifestyle ones).
But above all, do your own research. Snakes and lizards roam these grassy boards.
d3t, as you correctly state "No one can predict the future ".
Although predicting 'ICON', wasn't that difficult. After some independent research and the experience of many years in the game, got this one pretty much in the bag.
Like my last 7 years here on other similarly determined stocks, this one is proving to be bang on the mark I've advocated coming up 2 years in April.
dickie3times, you quote:-
"I believe director buys will come when they are debt free and into profit where the sp will be much higher and more stable ..simples."
By that time, I cannot see 'ICON' as a going concern. If any of this 'BoD' are actually as good as their self rodomontade, IMO they'll be incorporated into a private company of DGSF. Watch this space... but above all, DYOR.
Sarashare, how about I re-post this:-

Sarashare, contradictive (computercoders) and somewhat confused. Near close of business yesterday:-

I'm thinking that could happen Pwhite. One suspension RNS that these never come back from. I believe that's what will play out here.
computercoders - 18 Jan 2021 - 16:26:56 - 16332 of 16385 ICONIC LABS - New media and technology business - ICON
Anyone buying in now playing with fire.
Sarashare, taking over from JAdam?
Printing long winded extracts from ICON RNS's of self appraisal won't wash. In essence your just removing any decent, relative new discussion.
Any one is able to peruse the RNS's from the file history and most peeps worth their salt will by know how little from those RNS's can be relied on or used when making 'investment decisions'.
Better to take it with a pinch of salt, rather than lose your whole investment.
ICON never had the attributes for investment from the start. It's at best been tradeable (very short term) but for most, a pure gamble.
...but remember this rendition:-

I tried my best!
missthepenny62,
Are you aware that David Graeme Fenneck Sefton has connections to Alpha Blue Ocean.
Maybe it's time a few more here faced the reality... a game is being played out at the expense of PI's. One big group pi55ing in the same pot.
Ever wondered why the 'BoD' have never bought a single share between them.
Maybe it's time to get smart peeps.
EHGOS are certainly not jealous of ICON. Lol
missthepenny62, EHGOSF never agreed the 'floor' as you put it.
This was the deal:-
_________________________________________________________
"The conversion price (per Share) for the Bonds is now the greater of:
I. £0.004 (the "Minimum Conversion Price"), or
II. 90% of the lowest closing volume-weighted average price of Ordinary Shares in the 15 trading days prior to conversion (the "Theoretical Conversion Price").
To the extent that the Theoretical Conversion Price is below the Minimum Conversion Price the shortfall in the amount converted will be settled at the time of the next tranche."
_________________________________________________________
The last paragraph, clearly describes what could happen and did happen. The conversions were done at 90% of VWAP. The shortfalls then covered by the issuance of extra shares at the next tranche.
The floor (0.4p) was falsely sensationalised by the then EC DGFS
_________________________________________________________
Executive Chairman, David Sefton, said: "HGOSF has been highly supportive of the new strategy, and by providing capital, has been instrumental in our ability to restructure and pay off the outstanding legacy debts in WideCells, to the benefit of all stakeholders. We are very grateful for this support. HGOSF has also been open to discussions on restructuring the facility and this first part provides that, in essence, HGOSF cannot convert at a price below 0.4p, therefore providing a floor on the price. Furthermore, with its support we will look to increase this floor in the future, once the new business becomes more established."

If peeps don't peruse and correctly deduce the available information, they have only themselves to blame. To many prefer to be spoon fed by the ramptastic brigade rather than do their own research.
Reprobus, you're welcome and thank you, although I hadn't provided evidence of what the director said, so here it is:-
