UK Oil & Gas PLC (London AIM: UKOG) is pleased to announce that as per its 5(th) July announcement, it proposes to raise up to GBP4.7m (before expenses) via an Open Offer of up to 2,643,429,529 Open Offer Shares at GBP0.0018 per New Ordinary Share, the same price per share as its placing of 2(nd) July 2021. Under the Open Offer, the Company intends to provide all Qualifying Shareholders (other than, subject to certain exceptions, Restricted Shareholders and US persons) with the opportunity to subscribe for up to 1 Open Offer Share for every 5 Existing Ordinary Shares held by them.

The total amount that the Company could raise under the Open Offer is GBP4.7 million (before expenses), assuming all the Open Offer Entitlements are taken up.

Since mid-2017, therefore, you have been wrong about UKOG's share price FOR LONGER than you have been right (unsurprisingly, given you are always negative no matter what UKOG's share price is at the time).

Your recall of your own past record remains highly selective.

You were negative on UKOG when it was at 0.80p in mid-2017. It then rose to 11p and took about another 2 1/2 years before it descended to 0.80p again, in early 2020.

Since mid-2017, therefore, you have been wrong about UKOG's share price more than you have been right (unsurprisingly, given you are always negative no matter what UKOG's share price is at the time).

A lot of the chat contributors are not shareholders.

Increasingly recently, I've found that the word "scaremongering" keeps coming into my mind instead of the word "naysaying".

It seems to me that, in their own way, a good number of the naysayers are showing signs of stress, as if, within themselves, they believe UKOG may well be about to begin a major recovery.

If you key in his name on the search function of "Members Home" above, it draws a blank. Beyond that, I know nothing.

A rival site's market cap for UKOG has jumped, so the new shares have been admitted - pretty quick, since the placing RNS was just this Monday.

What possible new event or information MIGHT have suddenly arisen that made it immoral or illegal for the board to buy shares on 2nd July?

I don't know, cyan2, I'm simply suggesting it as a possible explanation for the absence of an RNS confirming director buys.

IF there was a 'good' reason for their failure to honour the commitment they should have responded to Wizards enquiry and RNS'd.

"We have good reason for not buying shares on 2nd July as we intended to do , but we can't tell you what that reason is".

It may indicate that they have knowledge of something so they think it is inappropriate for them to buy at present.

Agreed, Stockraiser, we already know the price of the open offer, the same as that of the placing, 0.18p.

That's why the % take-up of an open offer is so unpredictable, all depends on the performance of the share while the open offer is ... open.

They are always right in their own minds, yes, Mullins, which helps explain why they have got so very much wrong recently.

And why beholdest thou the mote that is in thy brother's eye, but considerest not the beam that is in thine own eye?

Some of the naysayers have got absolutely everything wrong recently:

management would fail to obtain the necessary votes at the GM - wrong;
the drill would not respect the deadline - wrong;
UKOG would have to raise funds before the drill started - wrong;
the market would not supply UKOG with the funds they sought - wrong.

Before coming up with their next criticism of UKOG's management, these naysayers should begin by criticising themselves.
