Clearly the company has been valued (by reasoned projection) at more than £220m by the end of this year, but JG has a fixed valuation/purchase price based on a mcap of £220m, so will get the benefit of the immediate profit on any valuation over £220m at the time of exercising the transfer. In other words, say the projected mcap was £500m at the end of the year, JG could then buy $10m (sorry not £) worth of shares based on a fixed £220m mcap so more than doubling the value of my shares immediately. This is a sure sign that the discussions and negotiations between parties is based on a projected valuation of Melody by the end of this year far in excess of £220m. Positive all round
