Gogsthelogs, HE1 do not have a PL for ITW1, therefore they are not currently in a JV with the TZ government. The licence is held by subsidiaries as a PL cannot be held by a non TZ national.

MrNewbie, I have not seen anything posted about taking land. Just that TZ will be given 16% free shares and can claim up to 50% of remaining shares to recoup their taxpayer spends that have benefitted the company. Oh yes, and they will be a JV with any producer by law. I have included the sources for this in all my posts today.

Pjmcgra, they will be taken over or legally have to include the TZ government in any JV. They cannot ‘go it alone’.

Sure is, for the short term. Lots of upside here for now. I have a large holding now, I will only buy a few mill more when some questions are answered though

‘ If a Mining Licence or Special Mining Licence is granted then the Government of the Republic of Tanzania shall be entitled to a 16 per cent. non-dilutable free carried interest in the share capital of the company which owns such Mining Licence or Special Mining Licence. In addition to the free carried interest in the shares the Government of the Republic of Tanzania shall be entitled to acquire up to 50 per cent. of the issued share capital of the company which owns the Mining Licence or Special Mining Licence commensurate with the total tax expenditures incurred by the Government of the Republic of Tanzania in favour of the company. In the event that a Special Mining Licence is granted the company holding such licence will be required to apply for the admission of its entire issued share capital to a local stock exchange with a minimum local shareholding of not less than 30 per cent.’

Wasn’t Eurasia UK registered though and not dealing with TZ law?

Apparently a PL and mining licence can only be held by a TZ national, so whilst they can absorb the subsidiary that would be at a cost. The ML will legally have to be a JV with the TZ government as stated in my last post.

In accordance with the State Participation Regulations, mining companies holding or those applying for a mining licence or a special mining licence are required to enter into joint venture arrangements with the GoT governed by a Framework Agreement substantially in a form set out under the First Schedule to the State Participation Regulations (the FWA). The FWA shall be negotiated between the GoT (through the Government Negotiating Team) and the relevant mining company in accordance with the Mining Act and the State Participation Regulations.

4) HE1 own the rig, staff etc. The subsidiaries have the Prospecting Licences, who owns what comes out of the well?

Sorry for the questions, I am an investor and never been a corporate lawyer or CFO.

The prospecting licences are owned by the subsidiaries Gogota (Tz) , Stahamili (Tz) and Naomi (TZ). Are there any corporate lawyers who can advise me of the following?

1)If these subsidiaries own the PL, will it be their name on the ML?

2) I have shares in HE1, any discovery will be by the subsidiaries, or have I got that wrong’

3) what does this structure mean for HE1 shareholders?
