It's not a question of default or breach of contract, but of the terms of the contract.
As I understand it, the original contract licensing the compound to Sierra provides that if they do not progress within a reasonable time, 1) ICR/CRUK are entitled to repossess the license, and 2) in those circumstances Sierra are entitled to compensation in respect of whatever value they have added. Which they undoubtedly have.

Sorry, it would be 2/7 of any payment or liability to SRRA, not 2/5, since that is SAR's remaining beneficial interest.

If we do take this back, there will be a cost. Sierra will be entitled to compensation for whatever value they have added - presumably something related to the costs of the phase 2/3 trials. Which would be substantial, I suspect, and open to any amount of negotiation or litigation. SAR presumably would have to cough up 2/5 of whatever is determined. Anyone know is there any case law?
