VALUATION
We evaluate the lead programme and look at recent deals in the IPF space to illustrate the value of NFX and its lead asset as it advances its strategy and/or secures new deals over the next 12-18 months. We use a DCF approach to value the lead programme NXP002 assuming global development and as it approaches key inflection points. We accept that this is the key focus and with the most certainty at present, until there is greater clarity on the way forward for NXP001 and for NXP004. We take into account that the programme is still at an early stage, nevertheless that risk is reduced owing to the existing body of safety data on the underlying drug, and because of the abbreviated regulatory route applicable for repurposed co-crystal or new solid form therapies.
For simplicity, we look at the value of the asset as if NFX were to market the product, rather than via a licensing deal, to illustrate its worth to potential licensees. Our valuation of NXP002 as a preclinical asset using a 13% WACC gives a risk adjusted valuation of NFX of £52.8m which is equivalent to 9 pence per share (based on 591.6m shares in issue post funding). This assumes that a Phase I ready package for the asset is in place which is being developed over the next 12-18 months
NFX is looking to license the asset before Phase I, in which case we would anticipate a global deal value of between $360-450m, in upfront and milestone payments, plus single digit royalties on sales, increasing in value in proportion to the stage of development of the underlying asset: from feasibility up to the full Phase I ready GLP package, assuming successful outcomes and based on recent precedent. We illustrate a range of deal metrics in IPF to support our assumptions. Industry precedent shows that once a robust patent position is built, even early stage IPF assets are attracting significant deals in the indication. While pipelines are filling out, the novel approach, acute need and the inhaled route of administration are key factors that can differentiate NXP002.

Enbridge Warns of Oil Shortages If Michigan Shuts Key Pipeline

(Bloomberg) -- Enbridge Inc. warned that refiners in central Canada and the U.S. Midwest would see crude supplies cut in half and propane costs surge for some homeowners if Michigan’s governor succeeds in shutting a key oil pipeline that crosses the state.

Refineries in Michigan, Ohio, Indiana, Pennsylvania as well as those in Ontario and Quebec would have to find alternative means for securing crude oil should Line 5 be shut, requiring the building of new rail terminals and rail cars, Vern Yu, the company’s president of liquid pipelines, told Canadian lawmakers Tuesday. Michigan homeowners that rely on propane to warm their homes would see prices increase by 38 cents a gallon and airports in Detroit and Toronto would face jet fuel shortages.

Michigan Gov. Gretchen Whitmer announced in November that she is revoking an easement that permitted the pipeline to cross the lake beds in the Straits of Mackinac, a move that could force the systems to shutdown by May. The pipeline is a key conduit for the state’s fuel and a critical source of oil for refineries in both the U.S. and Canada. The move has drawn protests from Canada’s government, which has vowed to fight to keep the pipeline operating.

A shutdown of Line 5 would cause an immediate shortage of energy in the region,” he said. “It would drive up prices significantly, and the replacement would be years away.”

The governor’s office didn’t immediately respond to an emailed request for comment.

The case is currently in U.S. federal court and Yu said he doesn’t expect the line to be shut in May, but the risk remains that a court could eventually take such action. Yu said that the Canadian government needs to make the U.S. state and federal officials understand that the pipeline is a very important bi-national issue.

The Line 5 dispute has highlighted Canada’s dependence on the U.S. for its energy needs. The only pipeline system that connects the oil fields of Alberta to Canada’s refineries in the east is Enbridge’s Mainline system, which transits through the U.S. before reentering Canada at Sarnia, Ontario.

A total of 15,000 daily truck trips and 800 rail cars would be needed to supply fuel and oil to those reliant on the pipeline, Yu said.

“We believe the pipeline is critical for the entire Great Lakes region,” he said.

As part of this transaction, the Company will be issuing to BHGE warrants up to a notional value of £3mm at an exercise price of 56.85p per ordinary share, totalling up to 5,277,045 warrants if fully issued. The Company has entered into a drilling contract with Dolphin Drilling Limited ("Dolphin") to utilise either the Borgland Dolphin or Blackford Dolphin semi-submersible drilling rig for a minimum 82-day programme which is due to commence not later than 1st September 2020 or as otherwise agreed between the parties (the "2020 Campaign"), and also has the ability to be extended for a period of 78 days (the "Option Programme"). The contract is conditional on i3 confirming availability of funds to satisfy its obligations under the contract, 90 days prior to drilling commencement.



i3's current minimum programme for the appraisal drilling consists of two appraisal wells on Serenity plus a sidetrack on each well, contingent on drilling outcomes, at a total expected gross cost of approximately US$33 million. The Option Programme would include wells on the Minos High structure and the Liberator West area in Block 13/23c.



Sale of Economic Interest in Block 13/23c



In concert with the abovementioned drilling contract, i3 has agreed that Dolphin will earn up to a 10% economic interest (the "Dolphin Interest") in Block 13/23c via a Net Revenue Sharing Agreement (the "NRSA") in exchange for Dolphin forgoing its Profit Margin above its Opex, up to a maximum amount of US$14.4 million (the "Dolphin Commitment"). Accordingly, the Dolphin Commitment will cover approximately 22% of the total expected gross costs of each of the 2020 Campaign and Option Programme.



The "Net Revenue" is revenue from the sale of hydrocarbons from Block 13/23c less all costs for developing and producing those hydrocarbons. Once production from Block 13/23c has been achieved, and after such time as i3 has been repaid 200% of all Block 13/23c development Capex costs from associated petroleum revenues, Dolphin will receive a share of field income equal to Dolphin's Interest multiplied by Net Revenue. Any Dolphin Profit Margin paid by i3 during the 2020 Campaign at its election will decrease the Dolphin interest on a proportional basis. At any time prior to the approval by the UK Oil and Gas Authority (the "OGA") of a field development plan ("FDP") which includes production wells in the 13/23c Block, i3 has the right to purchase the Dolphin Interest by paying Dolphin 125% of the Dolphin Commitment. Following the approval of a Block 13/23c FDP by the OGA to develop more than 25 MMbbls of reserves from production wells on that block, Dolphin has the right to sell the Dolphin Interest to i3 for the Dolphin Commitment plus interest accrued at a rate of 8% per annum, and i3 has the obligation to purchase the Dolphin Interest upon Dolphin exercising such right.

@CAVEMAN @Drjimjones I have a decent oil and gas background and I’ll be honest you my friend you have found a big winner with this play, I looked over a pile of data they basically got the assets in Alberta for 5 cents on the dollar and now oil has skyrocketed since then. The assets will be paid off in no time. Factor in minimal debt and this Dividend talk this could be $cdev type run .20 to $5 plus in time. At current prices this is a cash cow I started a position Wednesday added some Thursday and will go long like I should of on a few other plays. it’s a matter of time before this is discovered by investors in North America, the RTO November was very quiet and this is a gem. Their North Sea assets are worth more then this entire MC, who knows maybe they Land a partner to farm it out. They should update their website a bit and get some exposures going cause this is undervalued big time. The Gear Energy assets very nice job imo. One thing they could do is a RS and clean it up a bit, $ovv did theirs and it well worked out well imo this would too, will add Monday bottom line the market cap is 7-10x to small JMHO

@Metalmonkey When ITE releases a slide deck containing an exhaustive overview of the various land holdings and natural gas production / reserve capability we won’t be seeing these low prices any longer. We have pretty clear definition on the oil capability of the UK and Clearwater assets... however, the conventional gas assets require better resolution.

@Metalmonkey Here’s some more food for thought @Drjimjones, the remaining coal-fired power generation in Canada/USA is ~43 GW... this will require 7.2 BCF per day of additional natural gas to to generate. Currently, Canada/USA consume 40 BCFD and we produce at roughly the same rate we consume. We have not been replacing our declines the last few years due to under investment. We have Liberal / Democrats dictating environmental policies on both sides of the border. There’s a big shortfall on the horizon! It will be interesting to see more publicity on ITE’s natural gas holdings including the new Fahler well and associated lands.

@Metalmonkey Here's a low end case for ITE, add these up:

1. 90% Farm-out of UK Offshore Serenity Project, ~15MM cash in hand + NPV 281 MM @ 25% discount rate
2. Marten Clearwater Cold Flow Heavy. 1 billion OOIP. Recoverable approx. (120 MMbbl). Valuation of Marten creek is $120 MM CDN
3. Valuation of Conventional Production is $15,000 per flowing barrel equivalent... so another $150 MM.
4. Valuation of undeveloped conventional acreage is $60 MM.
5. Valuation of unused tax credits is $94 MM.
6. Valuation of 3rd party processing and royalty streams is approx. $20 MM.
7. Current debt approx. -$40 MM CDN

As such, in total, conservatively... ITE is worth $700 MM CDN or 5.88 x current market cap. $1 CDN/share. The catalyst for this realization will be driven by higher WTI/WCS crack spread due to higher diesel and JP blend demand during the recovery. WCS will be driven higher as the LVGO/HVGO fractions are really quite ideal feedstocks for this purpose. The bitumen fraction of WCS is rich in these. Higher bitumen demand will dictate higher steam demand from the SAGD operations which have been operating in efficiency mode for quite some time now. Higher steam demand by these operations will drive up the AECO gas price significantly... I'd expect to see $3-5 AECO soon and we won't be looking back with the Dems restricting their own new US oil production which also produces (via solution gas) 1/6 of the 30+ BCF they burn each day. And then we also have to consider the imminent replacement of all the coal fired power plants with Natgas combined cycle units. It's really quite the perfect cascading storm setup for the likes of ITE. These prices will drive up the valuation of the oil assets. I wouldn't at all be surprised to see $1 SP before the end of the year.

Summary: I3 Energy is a UNICORN. I honestly don’t think I’ll ever find this kind of windfall stock ever again in the oil/gas sector in Canada. I mean that sincerely, I begin my career investing in the oil sector 25 years ago, so I don’t say that lightly. Thankfully for the reader, i3 went silently public on the TSX big board in a reverse takeover of Toscana during the worst oil crash in history. A time when fear made investors and Institutions sell cashflow generating assets at pennies on the dollar which i3 bought at historic multi-decade lows. The assets they bought are currently producing 2x the purchase price based on current strip pricing and offer decades of upside. They also will persevere the capital while JV’s are being shopped around for their highly profitable large oil discoveries in the North Sea. The Clearwater Acreage alone is now worth more than the whole companies Enterprise Value and that’s just one piece of a very large economical asset pool. There are many catalysts to reprice this stock 5-10x higher to an industry multiple. 1) Dividend announce in the next 3 weeks 2)First Q 2021 filling in April as a TSX public company when lazy investors will be able to see the value laid out for them on Sedar 3) JV in the North Sea That will unlock potential 4x their current production and billions in FCF over the proceeding decades 4) internally growing production in Canada from FCF, starting at a base of 10’000 boe/d it doesn’t take much capital to double production and FCF 5) macro environment set-up for higher oil and gas pricing due to US restrictions on drilling in the shale plays in the USA, restrictions on access to capital, the +decade long underinvestment in new production globally, OPEC+ restricting oil production, global depletion of 6-7% a year = we need to add 6-7 million barrels of production globally just to run in place, Canada’s NG export capacity under construction will enable 20% of all NG currently produced to be exported driving up prices…. to name a few….
