The key difference is that the project has been named and identified.

The other aspect on window cleaning on a big housing development - how do you do your costings when you don't know how many windows there are and how often they need to be cleaned, and the client may want you to clean the insides but because its a new development, they don't know yet if or how often its required.

MMs are fine - they just act on clients instruction - they don't have to do due d unless they is something obvious afoot - like having an order to sell 100m here.

There are quite a few good companies but if you can't get loan facilities your trapped when things don't go to plan - and they never do- you have the same problem at Star [where you seem to be much more forgiving and tolerant] - and us PIs only know after the event -

With the current market turmoil, at least we are in the right sector. Oilies, commodities (x precious) and tech look delicate. You never know, we may attract some value Investors , especially now those pesky warrants are out of the way for ages- whoever has claims upon them.

CC sell 7m - as joint brokers they know timing is not known in Ghana and detect it may take a bit longer and so they see an opp - short sell pretending to be the CC remainder, when the tally hits 4m, call up Pete and say if you need some cash do it quick as nominal and btw we have some "clients" who can help but our "clients' are a bit greedy so want 1 for 1 warrants at 12.5 - meanwhile they keep shorting the remaining phantom cc shares while they are on the phone so poor Pete is coerced into a near 20% dilution [on a full basis] for a poxy 1.8m all because of nominal .
So who are these clients SVS suddenly found?
I'm sure the BOD will be looking into the warrants - hopefully also into their conduct as joint brokers and directors - should this be true of course.

It was a good one - problem was the exercise price of the warrants was far too close to the placing price [and too generous in number] and your advisor arranged it!!

If the warrants are held by SVS, got to understand warrants are not the same as shares. Warrants are a specific to the holder granted in return for something and are non transferable without mutual consent . There are often clauses covering malfeasance, conditional terms and insolvency. Shares conversely are freely tradable once issued and it doesn’t matter if you go tits up- you / your administrator can do what they want.

That’s why the Darwin warrant transfer was disclosed - you wouldn’t with shares . They are holder specific - only covered warrants are tradable.

Yrab, I’d consider e mailing the administrations saying you’ve been placed at a significant disadvantage whilst being a client. Hope it turns out ok for you.

It’s a fairly acquired taste so you’d hardly expect new peeps to be queuing up to oversubscribe - so you'd ask your clients who already hold ( a duty no doubt?) - well you would if genuine. If they didn’t offer to their clients who held at the time The chance to participate, there are no “placees” they did a Darwin and broke the law

Having 1 for 1 at so close to placing price is shocking. INFA just had one but their strike was double.
Who does a joint broker owe a fiduciary duty to - it’s corp client, it’s retail clients, or if in-house, themselves ? Smells of a conflict and I’d suggest PF calls up the regulator just to muddy the waters and tie those warrants up for ages. Cause imo, that price and quantity of warrants rn relation to amount raised smells . Cc only got 5m warrants and they put in 3 times as much and Ebola was kicking around.

Not a massive problem at all. If funds not recd , no shares issued, and massive short. I’m sure they have the funds but if not it’s fireworks upwards cause there’s 10m short that needs delivering - listen, we live in a ****ed up world so who knows but certainly a positive for us whatever

Paperwork may be scrappy - someone has to deliver shares to the market if not done already ( and admission was “around Aug 1” but WSG have the funds - that was the point of the raise with cash converters- to get cash now.
But interesting if not delivered- SVS would have defaulted the market . Possibly interesting if they have closed
