I think you are right on that.

The terms of them were a bit odd and it seems that if they weren't taken at the exact same time of the RTO, (whether this was defined on relist or deal signed?) then you wouldn't be able to use them.

Not sure if he can even buy open market either as arrangement I think might have made him insider.

I should add, I'd expect if there was a placing, only existing shareholders might be able to participate with open offer.

The AGM notes seem to lean towards this in my view.
