It's pretty clear what the shares are for for:
'The authorisation is proposed to be used for material arrangements from the Company's point of view, such as financing or implementing business arrangements, investments or for other such purposes determined by the Board of Directors in which case a weighty financial reason for issuing shares, options or other special rights entitling to shares and possibly deviating from the shareholders' pre-emptive rights, would exist'
Notice the words 'business arrangmets' aka a partner
Also notice, 'deviating from the shareholders' pre-emptive rights'
This means that we as shareholders have pre-rights to buy any spare shares... But with the new shares we don't.
Why? Because they have already been allocated to a partner!
