Evening all, what is the general consensus with Foxtons?

I put it in my watch list after the from from £1.60 to £1 last year, and watched it drop to ~50p recently, im not normally a fan of estate agents and i know most are at relative lows at the moment but its £15m and no debt status draws me to it.

do i wait for the mythical day that the sky falls in and the UK is forcibly towed by tug boats away from the EU and then dropped off in the middle of the Atlantic ocean?

or is it really just a dying industry to avoid ?

As far as I know the only time you ““have” to sell any shares is after a takeover offer has been accepted by the bulk of shareholders at a GM.

You will just hold shares in the private company, they could be harder to trade, you will be unable to hold them in an ISA or CREST account and normally have to get you or share certificates in paper form or transferred to a broker who can trade them.

Even if a company goes bust you can still keep your share certificates, but apart from the memory of a lesson learnt, sentimental value or a tax right off they will normally be worthless.

Holders shouldn’t loose the lot, but could loose part or a lot, I think the group of companies or the company itself will buy the remaining 27% of shareholders out via the MFB. The unknown is At what price. 2p costs them £300k 5p costs them £700k 7p costs them £1m. The company has the cash to do it, the investment groups want to push it. As there are multiple parties voting for the delist I’m expecting one party to buy in open market before the delist. That could give me a chance to either make a few quid as a simple trade or possibly take my stake out leave a few in and see what happens with them. “The Company has made arrangements for a Matched Bargain Facility to assist Shareholders to trade in the Ordinary Shares to be put in place from the day of Cancellation if the Resolution is passed.” Or I loose and end up with nothing.

No major holdings updates from the email list since the last update, still at 17.9m shares,

i did contact n+ and the aim regulator last week, ive not had a reply yet, but i think we cant really take it anywhere without more shares.

On the plus side if spreadex (24.5m), intertrade(20.3m) and everyone who emailed me their holdings (17.9m) vote against the delisting then we would only be about 20m shares short of securing the listing. (229,276,206 being <75% of the vote based on ~310m total votes) assuming they have not purchase more to vote FOR in the open market.

We still do not know how intertrade or spreadex will vote (if they vote at all), but it they read this - a tweet from them with their intention would be very helpful.

wow i did not expect that, $37.5m to $20m, Its been a long wait but i think the $1m a month saving was worth it.

Humm, £20k between them and nearly 2% of the company purchased right there.

Is Another one today, proposal to delist backed by large shareholder, slightly different there to here, the shareholder has nearly the 75% on their own so it can’t be stopped over there, but they have offered to put in place a “matched bargain facility”. Who is next ? Bagr if Shandong so eventually buy a majority stake? It seems to be happening a lot lately, Is this just another way for wealth or asset transfers for the major shareholders to avoid paying tax ?
