Not only were they late reporting his termination to Companies House, they said that he was going to resign after the fundraising had been completed but the Companies House form submitted shows that he resigned before. Not a happy chappy about something?

It doesn't make it any easier when it's company policy to terminate all bean counters. Who's left to put the beans in the correct columns.

IMO, we've done well to avoid that toxic subject on here for 2+ years. Best left that way, regardless of your leaning.

It wasn't really a spot by me, as I have an alert on from Companies House which lets me know when the company files anything.

I put it on after David Bland resigned as a director on 25/06/18 (at the same time as Simon Smith) but, for some reason, the company chose not to let anyone know.

The directors are paid well to do their jobs properly. If they're not up to it, find people who are.

Who knows why Hutton wanted to resign at that time. Perhaps he was not happy with an aspect of the Placing.

Why did the company say that resignation was to take place after the fundraise when it happened before and then they try and hide the fact that it happened before by notifying Companies House on the last Saturday before Christmas, attempting to hide the news.

My guess is Hutton was not happy with the fundraise and wanted out and not to be held responsible for it.

Are the board acting in the best interests of all members? I'm not sure. However, eventually, it will all come out in the wash.

However the termination arises, it is the company's responsibility to notify Companies House of the termination. The company must send a copy of the agreed resolution and a completed form TM01 within 14 days of the director leaving.

This appears to be filed late but I'll double-check with Companies House tomorrow.

I think that it depends very much on who any lender might be.

If, as previously mentioned, some of the R&D costs are to be converted to the status of an asset, will that then enable someone who lends the company money to use that new asset as security (fixed or floating charge)?
