The BoD were expecting sales for the year of £10M, set themselves a bonus target based on revenue 30% lower than that (£7m) and actually achieve sales 33% lower than that lower target.

This bonus arrangement is ridiculous.

If the company has managed to reach the revenue target for 2018 but just leaves the market wondering, the lower the SP goes and the more shares JC and HB will get.

There is no excuse for delaying the release of the Trading Update.

If the news is bad, they'll probably try and bury it by releasing it on Wednesday, hoping everyone is focused on the results of the vote.

They are not actually trying to build a business (because they don't know how to), they are trying to hoodwink someone into buying the company. However, the timing is all wrong because even the idiots are tightening their belts.

I don't agree that £4m (if achieved) is 'good', based on an order book of £77m as at 31/12/17.

What about any additional orders from 01/01/18 onwards - or have they stopped taking orders?

Ignoring the 'global pipeline', I'll guess that they've converted the £77m order book into an annual revenue of £3m -£4m i.e. conversion of order to sale of a measly 4% to 5%. Seriously, how do they continue to get away with it?

Last year's was early because they were attempting (but failing) to stop the plummeting SP from falling further, after telling a porky a month earlier. Dates:-

I don't believe that they wouldn't have thought about it back then, bearing in mind that JC's & HB's remuneration package was changed (bonuses based on 2018 revenues) back in June 2018.

Considering that they only started quarterly trading updates 9 months ago, it would appear to be a bit of a backward step to abandon that policy so quickly.

I wonder if this will be scrapped:-

"The Board is formulating a process and procedure for conducting an evaluation of its own performance and that of its principal committees and individual directors and expect this procedure to be complete by the end Q1 2019. The effectiveness of the Board and its committees will be kept under review in accordance with corporate governance best practice and at a minimum on an annual basis."

...could be three weeks away, by which time the SP could be 7p. Ideal if your £120K bonus is paid in shares based on that price.

However, back in the real world, I'd be amazed if the bonus payment is triggered unless they fudge the revenue figure by, for example, supplying a customer with a bit of hardware for £Xm, which cost the company £Xm too. I wouldn't put that sort of manoeuvre past this lot.
