The answer to your repetitive post is that Placing or Placement has a particular meaning. Issuing a CLN is not a placement, issuing shares in settlement of a liability is not a placement, issuing shares in respect of a CLN conversion is not a placement, issuing shares in respect of D&O share scheme is not a placement, issuing shares in respect of a warrant exercise is not a placement, issuing shares in respect of a JV agreement is not a placement, issuing shares for the acquisition of an asset is not a placement.

For a share issue to be a placement there needs to what is called a "Placing Agreement"..

News, a few years back. A CEO of a certain company was getting serious grief from trolls and decided to do something about it. The company went and got Norwich Pharmacal orders. I am reliably informed by the CEO in question that when they looked into it, one troll had 11 different usernames. He gave an undertaking not to repeat his activity; I suspect that he has continued but under new usernames. Not RRR and not AB. So legal recourse is there if parties want to use it.

In the case of RRR and Gary Carp, he paid substantial damages and costs.

The UK Bribery Act applies World Wide. If you are a British Legal Personality and you engage in Bribery to get someone to do something that they shouldn't then you have a problem. Funnily enough, bribing someone to get them to do something they should do without the bribe is not covered.

This case was to do with oil ie., nothing to do with Musonoi and so Musonoi is a separate matter and is not covered either by the fines or the alleged criminal acts.

Sam and AB will be there to supervise start up.

We already have a team on site setting things up.

I don't know about you but that sounds pretty damn serious to me.

Now as with all things, we need to keep in mind the trolls' blood pressure, so: it ain't done till it is done, many a slip twixt cup and lip and any other caveats you can think of.

Here the issue is the difference between form and substance. Of course, the form shows that all the boxes were ticked but the substance is otherwise. This ability to constantly ignore unfavorable information is called Nelsonian Knowledge.

Inducing a business partner of a third party to conduct themselves to that third party's disadvantage is called Tortious Interference. It doesn't matter what boxes were ticked if someone tortiously interferes with your business relationships, you have suffered a wrong and compensation is due.
