How I understand it is a 10% Major share holder is not guaranteed a board seat, However especially on AIM it is normally offered especially if the holder can contribute to the company. It sounds like they dangled the carrot whith the forms until he voted yes in the last AGM vote ?

They may very well be oppotunists but the Allenby 400million clients might be in for shock if a NO vote happens at the GM. They won't get their warrants !

Doing some very basic maths if Nugent, Amers and a few other vote NO lets say 150million votes the Yes vote would have to be above 450 million shares to win

If he can muster 200 -250 million No votes every other share in issue would have to vote yes which I would think impossible ? as it is by majority of over 75% of the votes cast ? (someone needs to check and confirm this) just incase things have changed in the last few years

at the last AGM votes cast was around the 140 million mark out of a possible 600 million. Mr. N voted yes to the resolutions meaning 60 million was his shares. if he does vote No this time with other share holdes I think he will win. ? even as ther are 400million extra share holders

so to answer your question the board would need every single shareholder in the company left "to be their mates"

That 10% TR1 added 30 percent to the share price first time around and it went to 0.56 then they put The vampire raise out and the price crashed to 0.20 if they had welcomed him to the board we could have had the Possible alternative funding that Mr N said previously. even if that did not happen the price could have been back in the .80 - 1p mark with him on the board and a company statement ? could have done and possibly could still do a small 400million share raise at .5 for retail only for excisting holders and if it wasnt fully subscribed allenbury could have been involved . warrants could have also been offered at a 1p price. all speculation offcourse

I have seen 10million buys 7.5s and so on. this week . which means he is a very serious share holder buying above placing price without the warrants ?

I am aware that there has been discussions resulting in various assumptions, that I wish to clarify.

As a major shareholder, I would have welcomed to have been part of the 400m placing but I was only read into discussions at the eleventh hour. It quickly became evident however that the 400m placing had already been fully subscribed through Allenby Capital clients, I assume. I have not invested in either, the retail offer or the conditional offer (1.2 bn shares). The reason for this being that my two brokers were not eligible to apply for shares in the retail offer. Regarding the conditional offer, disappointingly this was also fully subscribed.

I trully believe that if all the long term holders had been given a retail option with warrants to subscribe so they could average down and buy shares matching there holding this would not be a sod you moment. Unfortunatly the Bod sold us all out to new clients of Allenbury at our financial loss !

The Bod are meant to look after excisting shareholders not fxxx them over. I have less than a million shares but will also be voting No
