May still be another TR-1 to come next two days but depends what position the buyer was starting from. Aberdeen now below 5% so don't expect to see anything more announced from their side.

That's just a request (read 'demand') by industry bodies at this stage, the usual lobbying ahead of a budget to see what you can get. Might be some news tomorrow but I'd be very surprised to see it happen at 20%.

Could be a fund manager approached Aberdeen and said they would take X amount at a certain price if they wanted to divest them? Someone after a decent position before the results? Done as SI trades helps keep an orderly market.

Could still be another TR-1 on Monday if another party has crossed above a report level and only notified YOU later today. Maybe Blackrock, who could have opened their short as a hedge in advance of completing the deal? But I'm just guessing possibilities so will leave it there.

Agree entirely, and there have been discussions on this board alone going back about a year explaining the whole buy/sell nonsense. Some people still post up the end of day totals while ignoring that all the trades marked as 'unknown' by the dodgy algo on this site are not included in there at all, and also the UT is included on which ever side it 'guesses' it should be, which is utterly absurd!

Regarding Blackrock - if they cross back above 5% then it is the their responsibility to notify the FCA and YOU within the reporting deadline. If they reduce further then I think companies maybe get updates from their Registrar at agreed intervals when required, and then put those out to the significant shareholders for them to confirm before they update their AIM rule 26 disclosure. That only needs to be done every 6 months at minimum, some companies do it more often but not sure about YOU who last updated on 31st July:

And if someone has crossed a reporting threshold on Wednesday then they have until today to notify YOU, who then have until close on Monday to issue the RNS.

But reverse the logic come Monday - if no TR-1 issued then no reporting threshold was crossed, despite what people are demanding, and remember its 5% for some investment firms.

Yeah, sorry I can see now how that line could be interpreted differently:

So to be clear it's the incorporation location of the company issuing the shares (e.g. YOU) that determines the reporting rules to be followed, not the Investor's location. And the rules apply to PIs/HNWI the same as Investment firms.

Same applies to all these large trades recently where it's the exact same volume, price and time to the second - two sides to every trade, a buy and a sell (or sometimes known as In/Out in fund transfers?).

Most of them are marked as SI Trades (Systematic Internaliser) so normally Investment firms trading/transferring on their own book and off market but still need reported for transparency - Google SI trades if you want a rabbit hole to go down (not recommended, more exciting hobbies are available, and I don't really understand it all myself so won't be answering any questions).

the lack of communication from the company - about what? They are just a few days away from releasing FY results which will include any relevant commentary. That's normal financial reporting.

the speculation of a takeover and no rebuttal from the company - 'chatter' between random anonymous posters on forums like this is not 'speculation' in the meaning considered by The Takeover Code. There is nothing to rebut and no company should ever be wasting time engaging with every rumour doing the rounds, mostly when they are just from day traders/shorts trying to push an agenda, or those who are underwater and delusional.

the delay in news about the dividend - ? commentary about the dividend will be in the FY results next week, as it should be and normally is for most listed companies. Not sure why you think it's delayed. The date for the results was pushed back two weeks but that was from an indicative date only that was still to be confirmed. Date then confirmed in an RNS - perfectly normal.

YOU is UK Incorporated so it's the first three sentences of my previous post that applies - 3% crossed +/- 1% thereafter.

These large trades are almost certainly funds rebalancing or similar so may still be under 5%, or even under 3% if it's more than one/two funds involved. And the large late trades on Wednesday were 2.25% of shares in issue, not 4.5% - you're seeing both sides of each trade being reported there, not two separate trades in each pair of lines.

Apologies, correction: they have changed the mix of shares to be sold from that previously stated in the prospectus last week. JD are now selling 53,954,095 (21.58% of total shares in issue) and retaining 24,445,905 (9.78%) rather than retaining 5% as previously notified.

Rough estimate could be a gain of around £75m overall but DYOR if interested and don't hold me to that.

IPO launched today with conditional dealing, unconditional next Tuesday.

140p / £350m valuation so at lower end of indicated range and well below the £500m initial touted around earlier this year. JD will still make a decent return on the shares they are divesting, and they continue to hold 5% post IPO.

Good that it didn't have to go to a full Phase II investigation. JD should notify further details and an expected timetable in due course.

The shareholder crossing a reporting threshold must notify the FCA and the company no later than two trading days after the event. The company then has until the end of the trading day following receipt of the notification to issue it in an RNS.

Location/domicile of investors is irrelevant, it's the company's incorporation status that matters. Above deadlines apply to most UK listed companies, as does the 3% +/- 1% threshold rule. For overseas incorporated but still listed in UK then it would be 5% +/- 5% and four days to issue TR-1. Some Fund Managers have a 5% holding exception regardless which is why Blackrock in particular seem to get away with so much that looks underreported. MMs have a 10% holding exception.
