Non-Standard Finance plc (NSF) has announced the terms of a Share Offer to be made for the entire issued Share Capital of Provident Financial plc. As a holder of Provident Financial plc Shares in your Hargreaves Lansdown Account you need to decide whether you wish to accept the Offer or not.
Provident Financial Group have announced: “the Board believes NSF’s Offer is strategically and financially flawed and undervalues the Provident Group’s prospects. The Provident Board also believes that the NSF Offer and related proposals present significant operational and execution risks due to the uncertainty around NSF’s plans, NSF’s track record of value destruction and the limited experience of NSF’s management in banking and credit cards and against the backdrop of the evolving regulatory environment.

What are my choices?
Option 1 - You can accept the Offer. Under the terms of this Offer Provident Financial plc Shareholders have been offered 8.88 new NSF Shares for each Share held.
Option 2 - The alternative is to do nothing. If you do not wish to participate in either Offer you are not required to take any action at this time.
When do I have to decide by?
Any acceptance must be received in this office by noon on Monday 6 May 2019 If you return an acceptance by the deadline given, and the Offer is declared “wholly unconditional” (i.e. is successful), the resulting Shares will be credited to your Account within 14 days of the announcement.

Ps I don’t believe that the deal is good value. I also think that Provident financial should be given at least another six months to show that they can deliver I do expect the SP to rise In the short-term future.

I would be very surprised if Debenhams could not pay their rent on Monday. This is possibly a good buy opportunity. I am not invested here but feel like a punt . Only invest what you can afford to lose. I believe that the landlords will have to renegotiate the lease agreements. DYor
